Please read these Terms of Service (hereinafter - the “Terms”) carefully before using the Munay Platform and/or Services (as defined below). If you do not accept these Terms in their entirety, including the agreement to arbitrate on an individual basis any claims between you and Munay Live LLC (referred to as “Munay,” “we,” and “us”), a corporation registered and organized under the laws of the state of Delaware, you must not access or use the Munay Platform.

DEFINITIONS

To provide clarity and ensure consistent understanding, the following terms are defined as they are used throughout this agreement:

  • Practitioner: An individual offering Third Party Services via the Munay Platform. Practitioners may include professionals providing guidance, consultation, insights, or specialized expertise.
  • Customer: A registered user of the Munay Platform seeking to engage Practitioners for Third Party Services.
  • Munay Platform: The collective digital ecosystem comprising Munay’s website, related mobile applications, and software tools enabling interactions between Customers and Practitioners.
  • Third Party Services: Services provided by Practitioners through the Munay Platform, which may include consultations, guidance, or other expertise offered independently by Practitioners.
  • Services: The features and functionalities offered by Munay, including but not limited to facilitating connections between Customers and Practitioners, search, community features, directory, communications, payment processing, customer support, and the provision of the Munay Platform.
  • User: Any individual or entity accessing the Munay Platform, including but not limited to Customers, Practitioners, or visitors.
  • Session Recording: Video or audio recordings of interactions conducted on the Munay Platform, primarily for quality assurance or compliance purposes.
  • Personal Data: Information relating to an identified or identifiable individual that is collected, stored, or processed by Munay.
  • Privacy Policy: Munay’s documented practices regarding the collection, use, and protection of Personal Data.
  • Refund and Payment Policy: Munay’s policy governing payment transactions, refunds, and related financial terms.
  • Terms of Service ("Terms"): The legally binding agreement between Users and Munay that governs access to and use of the Munay Platform and Services.

GENERAL INFORMATION

1.1. Terms of Service

These Terms describe the terms and conditions applicable to your access and use of the website, located at https://Munay.live, and its sub-domains (the “Website”), related mobile device application, and software (collectively with the Website, the “Munay Platform”). Use of the Services is subject to these Terms and any other rules or policies published on the Website or otherwise made available to you by Munay.

You understand that by creating an account on the Munay Platform, you enter into a legally binding contract with Munay with effect from this date and indicate your unconditional acceptance of these Terms. These Terms, as well as the Refund and Payment Policy, and Privacy Policy, are legally binding agreements governing the relationship between Munay and any User (as defined below) or visitor of the Munay Platform. As a User or a visitor of the Munay Platform, the collection, use, and sharing of your personal data are subject to the Privacy Policy as may be amended from time to time.

For significant changes (material changes to payment, privacy, or dispute resolution), Munay may require users to renew agreement via clickwrap at login or booking.

This agreement is only valid for individuals who are at least 18 years of age. If the individual is between the ages of 13 and 17, the agreement is valid only with the express written consent and active presence of a parent or legal guardian during the execution of this contract. For individuals aged 13 to 17, the undersigned parent or legal guardian agrees to be present during the execution of this agreement.

1.2. Munay Services

The Munay Service is a search, directory, and communications platform for enabling the connection between individual Customers seeking to obtain services from Practitioners and/or individuals or companies seeking to provide such services (“Third Party Services”). The Company does not guarantee or warrant, and makes no representations regarding, the reliability, quality, or suitability of such Third Party Services nor the third-party advisors/providers. When interacting with providers/advisors, you should exercise caution and common sense.

The services offered on this platform are intended solely for personal growth, self-exploration, and spiritual practice. They are not a substitute for professional medical advice, diagnosis, or treatment.

We do not provide or promote medical services, and none of the content, sessions, or guidance offered by practitioners should be interpreted as medical advice or therapy. If you are experiencing a medical or mental health issue, please consult a licensed healthcare provider.

The term “healing,” as used on the Munay platform, refers solely to spiritual, energetic, or emotional practices intended to support personal transformation. It does not refer to or substitute for medical, psychological, psychiatric, or other licensed healthcare.

  • No session, service, or content offered on the platform is intended to diagnose, treat, cure, or prevent any physical or mental health condition.
  • Practitioners are not licensed medical professionals unless explicitly stated, and are prohibited from offering medical advice, diagnosis, or prescriptions.
  • All services should be seen as non-clinical wellness offerings, and any references to healing, activation, or clearing are metaphysical in nature.
  • Users agree they are solely responsible for consulting a licensed healthcare provider for any medical or psychological conditions, treatments, or concerns.

Energetic Boundaries and Personal Responsibility

You further acknowledge that all sessions are undertaken at your own discretion, and that spiritual or energetic services inherently carry a range of subjective experiences that may vary by individual.

  • You are fully responsible for your own emotional, energetic, and spiritual well-being before, during, and after any session.
  • Munay makes no guarantees regarding energetic compatibility, emotional resonance, or spiritual alignment between practitioners and recipients.
  • If at any time you feel uncomfortable, you are encouraged and empowered to end the session. Practitioners and recipients alike have the right to disengage respectfully.
  • Practitioners are responsible for maintaining their own energetic boundaries and post-session care. Munay shall not be held liable for any perceived energetic, emotional, or spiritual harm resulting from a session.

By continuing to use Munay, offer sessions, or book services, you agree to release Munay, its representatives, employees, contractors, and affiliates from all claims or liability—whether known or unknown—arising from the content, outcomes, or energetic impact of any session.

Munay disclaims all warranties of effective or beneficial results or energetic compatibility from automated matching, recommendations, search, or similar platform features.

Practitioners are not permitted to use language that implies treatment, medical healing, or diagnosis. All sessions must remain within the scope of wellness, energy work, coaching, or spiritual guidance.

By using this platform, you acknowledge and agree to these terms.

You may access and use the Munay Platform as:
(i) a registered user seeking online Third Party Services by using the Munay Platform or other tools made available by Munay (the “Customer”);
(ii) a registered user providing online Third Party Services via the Munay Platform or other tools made available by Munay (the “Practitioner”); or
(iii) a visitor of the Website, including the Munay Blog.

Throughout these Terms, “you” or “your” may refer, as applicable, to the User, the Practitioner, or a visitor accessing or using any of our Services (each the “User”).

Munay services include access to the Munay Platform for Customers and Practitioners to connect for Third Party Services, facilitation of payments between Customers and Practitioners, and customer support and related services (the “Services”). Munay does not provide Third Party Services.

You are responsible for obtaining and paying for any equipment and Internet service necessary to access the Services. We may alter, suspend, or discontinue the Munay Platform or the Services in whole or in part, at any time and for any reason, without notice. The Munay Platform may also become unavailable periodically due to maintenance or malfunction of computer equipment or other reasons.

We may provide access to third-party services and products from time to time or to our own products or Services. You acknowledge that the Munay Platform is evolving and that the form and nature of the Services may change from time to time without notice to you.

1.3. Amendments to these Terms

We reserve the right to amend or modify these Terms at any time by posting a revised version on the Website and by notifying you through the Munay Platform or via the email address associated with you in case of a material change. The latest version is published on this page.

We encourage you to check this page regularly. If you do not agree with the amendments to these Terms, you have the right to terminate these Terms by discontinuing your use of the Services and providing a termination notice to Munay or deleting your account. By continuing to use the Services following the amendment of these Terms, you consent to be bound by the Terms as amended.

Users will be notified of all material changes to these Terms via email and through prominent in-app or website notifications at least 7 days before the changes become effective, except where changes are required to comply with law or regulation in which case changes take effect immediately.

OBLIGATIONS

2.1. Services Eligibility
Services are available only to and may only be used by individuals who are 18 years and older and who can form legally binding contracts under applicable law. Individuals under the age of 18 but not younger than the age of 13 can use our Services only in conjunction with and under the supervision of a parent or a legal guardian. The parent or the legal guardian shall at all times be responsible for any and all activities related to the use of the Services by the aforementioned individuals. You agree and confirm that you will not allow any individual younger than the age of 13 to use the Services. Munay reserves the right to require additional age or identity verification at any time.

2.2. Verification
Munay may request a Practitioner to provide a government-issued ID (passport, driver’s license, etc.) and the documents confirming the claimed Practitioner credentials (educational background documents, such as diplomas, certificates, etc.). The Practitioner may be asked to upload a copy of the Practitioner's government-issued ID and their educational document(s). Practitioner applicants who fail credential checks or verification are entitled to notice and have the right to request review of the decision by contacting care@munay.live within 14 days. 

Practitioner Verification & Practice Sessions

As part of Munay’s practitioner vetting and evaluation process, the platform reserves the right, at its sole and absolute discretion, to request or facilitate a voluntary, unpaid practice session between the practitioner applicant (“Practitioner”) and a recipient participant (“Recipient”). The Recipient may include, but is not limited to, a member of Munay’s internal team, a current Munay practitioner, a platform customer, or an external third party selected by Munay. The facilitation or omission of such a session shall not be construed as an entitlement, requirement, or condition of admission to the platform, and Munay reserves the right to bypass or modify this step at any time.

All practice sessions are considered a mutual goodwill offering and are non-compensated. Participation in such a session does not constitute acceptance, endorsement, or approval by Munay and shall not create any form of contractual obligation, expectation of onboarding, or future employment. The Practitioner agrees to deliver the session in good faith, with the same level of professionalism, care, and diligence expected in a standard paid session.

Practitioners are required to review and digitally accept the Terms before the session takes place. A timestamped record of consent will be stored by Munay.

The Recipient may, but is not obligated to, provide subjective feedback or a review, which Munay reserves the right to use at its full discretion for internal evaluation and/or external promotional purposes. Should the review be favorable, Munay may, without limitation, publish or reference the content publicly to enhance the discoverability of the Practitioner’s services. The Practitioner hereby grants Munay an irrevocable, royalty-free, perpetual, worldwide license to use such feedback, quotes, testimonials, or insights in connection with platform operations, quality assurance, marketing, and public communications. Munay is under no obligation to notify the Practitioner prior to publishing such feedback, but may do so as a courtesy.

The Recipient reserves the right to decline or terminate the session at any time, without notice, explanation, or liability. The Recipient is not acting on behalf of Munay and does not represent the company’s views or decisions. Practitioners acknowledge that the Recipient may express personal opinions, feedback, or reactions that are not subject to Munay’s control, and agree to hold Munay harmless from any claims related to the Recipient’s conduct, words, or tone.

Practitioners acknowledge that they may encounter subjective opinions, energetic misalignments, or critical feedback during or after the session, and agree to hold harmless and release Munay, its affiliates, agents, employees, and assigns from any and all claims, demands, liabilities, disputes, damages, or causes of action—whether known or unknown—arising out of or related to the conduct, speech, or actions of the Recipient.

By participating in a practice session, the Practitioner fully acknowledges and agrees that:

  • The session is voluntary and non-binding;
  • Munay assumes no liability for the content, outcome, tone, or energetic impact of the session;
  • No guarantees, promises, or representations are made with respect to platform admission or future collaboration;
  • The Practitioner may not pursue legal claims against Munay for any discomfort, disagreement, emotional reaction, or dissatisfaction with the session;
  • All participation is entered into with informed consent, and the Practitioner has the right to decline or withdraw from the platform at any time, but not after a session is scheduled;
  • All legal waivers extend to any use of feedback for promotional purposes, including but not limited to publication on the Munay website, emails, social channels, or practitioner profiles.

This clause supersedes any verbal assurances or informal understandings and shall be governed by the overarching Terms of Participation of the Munay platform.

Practitioners acknowledge and accept full responsibility for their own energetic boundaries, protection, and post-session care. Munay does not and cannot guarantee the energetic compatibility, spiritual integrity, emotional state, or conscious awareness of any practice session participant, and is not liable for any perceived or reported energetic impact or harm experienced by the Practitioner.

By accepting this clause, the Practitioner affirms that they have adequate personal energetic practices and discernment in place to self-regulate, ground, and disengage as needed before, during, or after the session.

In the event of perceived energetic distress, misalignment, or spiritual discomfort, the Practitioner agrees to release Munay and all related persons from any and all claims, legal action, or reputational blame, whether direct or implied.

Munay does not endorse or make any representations or warranties regarding the accuracy, completeness, and reliability of any information provided by the Practitioner within the verification procedure.

Munay cannot confirm that each User is who they claim to be. You agree and understand that you assume all risks when using the Services, including, without limitation, any and all of the risks associated with any online or offline interactions with other Users.

When interacting with other Users, you should exercise caution and common sense to protect your personal safety and property, just as you would when interacting with other people you don’t know. Neither Munay nor its affiliates or licensors is responsible for the conduct, whether online or offline, of any User of the Services. Munay, its affiliates, and licensors will not be liable for any claim, injury, or damage arising from or in connection with your use of the Services.

2.3. Consumer Reports
Munay may or may not utilize third-party consumer reporting agencies that perform, among other things, criminal background checks, sex offender registry checks, motor vehicle records checks, credit checks, and identification verifications (“Consumer reports”). Munay does not endorse or make any representations or warranties regarding the reliability of such Consumer reports or the accuracy, timeliness, or completeness of any information in the Consumer reports.

While Munay may or may not facilitate a verification process for Practitioners by collecting identification and credential documents, this process may be limited to ensuring that basic requirements are met. Munay does not independently verify or endorse the accuracy, legitimacy, or completeness of the credentials or certifications provided by Practitioners. Users are strongly encouraged to conduct their own due diligence before engaging with any Practitioner, as Munay disclaims responsibility for the reliability or validity of any Practitioner's qualifications.

Users who are the subject of Consumer reports may contact the third-party consumer reporting agency to dispute such information's accuracy, timeliness, or completeness. Munay reserves the right to suspend and/or terminate a User account based on the information in the Consumer reports or for any other reason at Munay's sole discretion.

2.4. Privacy
Munay is committed to complying with the General Data Protection Regulation (GDPR) for users within the European Economic Area (EEA). Personal data collected through the Munay Platform is processed lawfully, transparently, and for specific purposes, such as providing our Services or complying with legal obligations.

You have the right to request the deletion of your account and personal data. To initiate this process, please send an email to legal@munay.live from the email address associated with your account. Upon receipt of your request, we will process the deletion of your account and associated personal data within one month. Once deleted, your information cannot be recovered. Please note that certain data may be retained for legal or regulatory compliance where required. You will receive confirmation once your request has been completed. 2.5. Payments and Refunds
Payment processing on the Munay Platform is provided by third-party payment processors, including but not limited to Stripe, Wise and Sharetribe. For our Payments and Refund Policies, please refer to Munay Payments and Refund Policy. To the fullest extent permitted by law, any refunds at any time are at our sole discretion only.

We use third-party payment processors, such as Stripe, to bill you as Customers in lieu of directly processing your credit/debit card information. Please read more on how the security of your payment and billing information is handled in our Privacy Policy.

2.6. Refund
Munay strives to ensure a clear understanding of the financial relations between Customers and Practitioners with respect to the Services we provide. Please check our Refund and Payment Policy to find out more about how we handle refunds.

2.7. Session Recording Retention & Reporting Policy

  1. Recording Retention: Munay may temporarily retain video recordings of user sessions for a maximum period of two (2) weeks from the session date. After this period, all recordings are permanently deleted and cannot be recovered.
  2. User Responsibility for Reporting Issues: Users must report any concerns related to session recordings—including but not limited to inappropriate content, violations of our community guidelines, or technical issues—within two (2) weeks of the session date. Reports can be submitted to care@munay.live. If no report is received within this timeframe, Munay is not responsible for any actions or disputes arising from the deleted content.
  3. No Obligation to Retain Recordings: Munay is not obligated to retain session recordings beyond the specified retention period. Users acknowledge that failure to report an issue within two weeks means the content will no longer be available for review or action.
  4. Legal & Compliance Exceptions: If required by law, regulation, or a valid legal request (such as a subpoena or law enforcement investigation), Munay may take appropriate actions regarding session recordings, provided they are still within the retention period. If Munay receives valid legal requests, ongoing investigations, or regulatory orders, it may retain applicable session recordings beyond 2 weeks for compliance purposes.

RIGHTS AND LIMITS


3.1. Your Right to Use the Munay Platform

If you are a Customer, Munay grants you, under these Terms, a non-transferable, non-sublicensable, non-exclusive, limited right to access and use the Munay Platform solely for your non-commercial personal use.

If you are a Practitioner, Munay grants you, under these Terms, a non-transferable, non-sublicensable, non-exclusive, limited right to access and use the Munay Platform solely for the provision of Third Party Services to Customers.

You agree not to:

  • View, copy, or procure content or information from the Munay Platform by automated means (such as scripts, bots, spiders, crawlers, or scrapers), or use data mining technology unless formally authorized by Munay under a separate written agreement.
  • Inquire about or engage Practitioners beyond the purchased services on the Munay Platform
  • Use the Services for purposes that violate legal policies of your local government.
  • Copy, reproduce, modify, republish, download, upload, post, transmit, or distribute Munay materials without prior written permission or as expressly provided in these Terms.
  • Share or transfer your account credentials with any third party.

Munay may impose reasonable limits on your access, including time or volume of information accessed, or devices used, to prevent unauthorized third-party use.

3.2. Your Account

Certain Services are reserved for registered users. To register, you must create a Customer or Practitioner account on the Munay Platform. You are responsible for protecting your account credentials and all activities under your account. Notify us immediately of any unauthorized use.

Munay may terminate or suspend accounts for reasons such as fraud, prolonged inactivity, repeated user complaints, or breaches of these Terms. Users are entitled to a written explanation upon request and may appeal within 30 days of termination notice.

You may use the Website without registration, but these Terms still apply when you interact with the Website.

You may not:

  1. Create more than one account per role (one as a Practitioner and one as a Customer).
  2. Share your account credentials with third parties.
  3. Transfer your account to any third party.

Munay is not responsible for loss or damages due to failure to safeguard your account credentials. You may not rent, resell, or remarket the Munay Platform.

When creating an account, we may collect personal data directly or from third-party services (Facebook, Google, Apple). By using third-party authentication, you authorize us to collect necessary data for authentication.

  • Customer Accounts: You may add a profile photo or connect Google/Facebook but are not required to provide a photo.
  • Practitioner Accounts: A profile photo and an introduction are required. Adding more details (e.g., country, languages, education, work experience) can enhance your visibility.

All personal data shared within your account is subject to our Privacy Policy.

3.3. Direct Interactions

Munay does not participate in direct interactions between Customers and Practitioners except when necessary to: (a) Ensure compliance with these Terms. (b) Improve our Services. (c) Enforce our Refund and Payment Policy.

Munay does not control the services provided by Practitioners, Customer reviews, or user behavior. Users are encouraged to report harassment, fraud, or abusive behavior encountered during direct interactions to care@munay.live. Munay will investigate and take appropriate actions, which may include suspension or banning of user accounts.

3.4. Representations and Warranties

Practitioner-Specific Representations

If you use the Services as a Practitioner, you:

  1. Will provide Third Party Services per these Terms and Munay policies.
  2. Will comply with all local laws and regulations.
  3. Are solely responsible for any legal violations.
  4. Will provide services with reasonable care and skill and on time.
  5. Have obtained and will maintain all required registrations, licenses, and certifications.
  6. Will not provide services outside the Munay Platform or solicit direct payments.
  7. Agree that Munay may advertise your services without additional payment.
  8. Allow Munay to enhance your listings (e.g., adding logos, editing descriptions, publishing on social media).
  9. Will not manipulate Munay’s fee structure or billing process.

Munay reserves the right to change practitioner requirements, vetting methods, or eligibility criteria at its sole discretion, consistent with applicable law.

Customer-Specific Representations

If you use the Services as a Customer, you:

  1. Agree to honor your commitments to Practitioners.
  2. Will not manipulate Munay’s fee structure or billing process.
  3. Will make good faith efforts to interact with Practitioners.

3.5. Practitioner’s Introduction Video and Profile Photo

Practitioners grant Munay rights to use their introduction videos, names, and profile photos for marketing and promotional purposes, including social media and streaming services (YouTube, Vimeo, Facebook, etc.).

You may request removal of any introduction listings by emailing care@munay.live.

Munay will make best efforts to process requests to remove or update profile introductions, images, or videos within 14 days, except where retention is required for compliance or recordkeeping.

3.6. Practitioners’ Ranking

Practitioners are ranked based on multiple factors, including but not limited to:

  • Customer’s search criteria, country, language, and time zone.
  • Availability of time slots.
  • Past performance and responsiveness to Customers.
  • Profile completeness, including photo and introduction video quality.
  • Customer reviews and ratings.
  • Customer history on the Munay Platform.

3.7. Practitioner Evaluation & Approval Discretion

Before approving any practitioner, Munay reserves the right to request a complimentary session for a service of our choosing as part of our evaluation process. This session is entirely at our discretion and does not guarantee approval. We retain full authority to accept or decline any practitioner for any reason, with or without explanation, and participation in this process does not create any expectation of future acceptance. By participating, practitioners agree that they are providing the session voluntarily and without expectation of payment, reimbursement, or future business.

Munay is not liable for any costs, damages, or claims arising from this evaluation process, including but not limited to lost income, reputational impact, or any legal claims related to non-acceptance. Practitioners expressly waive any right to dispute Munay’s decisions regarding approval. Furthermore, practitioners agree to indemnify and hold Munay harmless against any claims, disputes, or liabilities related to their participation in this process.

Munay is a curated marketplace, and we are committed to maintaining the integrity and quality of our practitioner network. Practitioners must complete all required onboarding steps—including full profile information and verified payout setup—before being considered for activation.

We reserve the right to deactivate or remove any account that remains incomplete for more than 14 days, without notice or obligation to retain data or provide access. Creation of an account does not imply acceptance or participation in the platform.

3.8. User Complaints

To file a complaint, contact care@munay.live with the subject line ‘Formal Complaint’, providing as many details as possible. Munay will investigate and respond accordingly. Formal complaints submitted in writing will receive acknowledgement within 14 days, except where additional investigation time is required.

3.9. Limits

While using the Services, you must abide by the User Code of Conduct. Use of Munay Content is subject to United States and international fair use and copyright law. Users who believe their fair use rights have been infringed or are being restricted may contact legal@munay.live.

Use of Munay Content

Users have a personal, non-transferable, non-exclusive right to use the Munay Content of the Munay Platform, subject to these Terms.

Munay Content refers to all information, text, images, maps, data, links, or other material accessible through the Munay Platform, whether created by us or provided by a third party. The content may contain typographical or other inadvertent errors or inaccuracies. We reserve the right to modify the Munay Content without obligation to provide notice of such changes.

You may view, copy, download, and print the Munay Content available on or through the Munay Platform, subject to the following conditions:

  1. Personal Use Only: The Munay Content is for personal, individual, and non-commercial use only. No part of the Munay Platform or Munay Content may be reproduced or transmitted in any form by any means, including electronic or mechanical means such as photocopying and recording, for any other purpose.
  2. No Modifications: The Munay Content may not be modified.
  3. Proprietary Notices: Copyright, trademark, and other proprietary notices must remain intact. Nothing on the Munay Platform grants any license or right to use the Munay Content, except as expressly permitted by these Terms or with prior written permission from Munay or the relevant third-party rights holder.
  4. You may not engage in any automated scraping, data extraction, or use of bots to collect Munay Content. Commercial resale, bulk reproduction, or redistribution of the Munay Content without Munay’s prior written consent is strictly prohibited.

No Implied Rights: Nothing on the Munay Platform grants any license or right to use the Munay Content, except as expressly permitted by these Terms or with prior written permission from Munay or the relevant third-party rights holder. All rights not expressly granted remain with Munay.

Termination: Any violation of these restrictions may result in immediate suspension or termination of your access to the Munay Platform, at our sole discretion.

USER-GENERATED CONTENT

User-generated Content includes all comments, remarks, information, feedback, text, photographs, links, data, images, videos, music, or other material posted by Users on the Munay Platform or provided to Munay, including content submitted through surveys.

Munay is not responsible for the conduct of Users or the views, opinions, or statements expressed in User-generated Content. We do not prescreen posted content and act only as a passive conduit for its distribution. Any opinions, advice, statements, services, offers, or other User-generated Content are those of the respective author(s) or distributor(s) and not of Munay.

Users must ensure that any submitted User-generated Content does not infringe on any copyrights, trade secrets, or intellectual property rights of another person or entity. Users are solely liable for any damages resulting from infringement or other legal violations.

We have the right, but not the obligation, to monitor, edit, or remove any User-generated Content at any time. Prohibited Content: You agree not to submit content that is unlawful, offensive, harassing, defamatory, obscene, or that violates any person’s privacy or rights of publicity. Munay may remove such content at our discretion and report suspected violations of law to law enforcement authorities.

Contributor Content Terms
By submitting any Contributor Content, including but not limited to written articles, images, videos, or other media (“Contributor Content”), the contributor hereby irrevocably assigns all rights, title, and interest in and to such Contributor Content to Munay, including all intellectual property rights therein. Munay shall have the sole and exclusive right to edit, modify, publish, reproduce, display, distribute, or remove the Contributor Content at its sole discretion, in any format or medium, without restriction.

Contributors acknowledge and agree that:

  • Their access to contribute may be revoked at any time, with or without notice.
  • All submitted Contributor Content must be original, unpublished, and must not infringe upon any third-party intellectual property or other legal rights.
  • They represent and warrant that the Contributor Content is lawful, non-defamatory, and does not contain any material that violates applicable laws or regulations.
  • They shall indemnify, defend, and hold harmless Munay, its affiliates, officers, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to any breach of these representations or the Contributor Content submitted.
  • No compensation, monetary or otherwise, shall be provided in exchange for Contributor Content submissions.
  • Once submitted, Contributor Content becomes the permanent property of Munay, and contributors waive any right to request edits, removal, or attribution.

Munay reserves the right to refuse or decline publication of any Contributor Content at its sole discretion.

Lobbying Restrictions

Federal law imposes strict limitations on lobbying activities by tax‑exempt organizations. For purposes of this Agreement, “lobbying” includes, but is not limited to, any communication or activity intended to influence the passage, defeat, interpretation, or content of legislation or governmental policy. Munay does not engage in lobbying through User‑Generated Content, and no User‑Generated Content shall be attributed to Munay as lobbying activity. However, any User‑Generated Content or related activity may, under applicable law, constitute lobbying by you individually or by an entity you represent. You are solely and exclusively responsible for determining whether your activities constitute lobbying, and for ensuring full compliance with all applicable federal, state, and local lobbying laws, rules, registration, and reporting requirements. Munay expressly disclaims any responsibility or liability for your compliance with lobbying restrictions.

The Munay Platform may contain links to external websites not operated by Munay and is integrated with certain third‑party services, including, but not limited to: Stripe (payments and escrow), Wise (payouts), Zapier (workflow automation), ActiveCampaign (communications and automation), Ghost (blog and content management), Referral Rock (referrals), Sharetribe (marketplace framework), Aurinko (calendar and scheduling), Instagram (social media integration), and Agora (video and real‑time communication). These third‑party services are utilized to facilitate core platform functions such as scheduling, secure payments, content management, marketing communications, referrals, and virtual sessions.

By using the Munay Platform, you acknowledge and agree that:

  1. Information Sharing: Munay will share only the minimum information necessary to enable each integration to function for the purpose of supporting your bookings, transactions, and use of the platform.
  2. Independent Control: Each third‑party service operates as an independent data controller and is governed by its own terms of service and privacy policies. Munay does not control and is not responsible for their security, privacy, or data handling practices.
  3. Assumption of Risk: Your access to, or interaction with, third‑party services is entirely at your own discretion and risk. Munay expressly disclaims any and all liability arising from your use of, or reliance on, such third‑party services.
  4. Consent: By continuing to use the Munay Platform, you provide informed consent to the integration of these third‑party services and the limited sharing of your information strictly for the purpose of enabling the platform to function as described.

ADVERTISEMENTS

  1. Third‑Party Advertisements: The Munay Platform may display advertisements, promotions, and sponsored content provided by third parties. Any interactions, business dealings, or participation in promotions with advertisers other than Munay—including, but not limited to, the payment for and delivery of goods or services—are conducted solely between you and the applicable advertiser. Munay does not endorse, warrant, or guarantee any third‑party products, services, or offers and expressly disclaims any responsibility or liability for any loss, damage, or claim of any kind arising out of such dealings.
  2. Munay Promotional Advertising: Munay may also display advertisements on third‑party or non‑Munay websites, social media, or digital platforms in order to promote Services, Practitioners, or other offerings available through the Munay Platform and to generate customer leads. Such promotional activities are intended only to increase platform visibility and do not create any endorsement, warranty, or representation by Munay with respect to the third‑party website or service on which the advertisement appears.
  3. Assumption of Risk: By engaging with any advertisement, sponsorship, or promotional content displayed via the Platform—or by following links to external websites—you acknowledge that you do so at your own risk and subject to the terms, conditions, and policies of the relevant third party.

NO IMPLIED ENDORSEMENTS

Any mention of, or reference to, a third party or third‑party product, service, brand, website, or provider on the Munay Platform is provided solely for informational or functional purposes and shall not be construed as an endorsement, sponsorship, partnership, or approval by Munay. Munay makes no representations, warranties, or guarantees—express or implied—regarding any third‑party products, services, or providers, including their quality, accuracy, reliability, legality, or fitness for a particular purpose.

Munay is not a party to, nor responsible for, any communications, transactions, or relationships between Users and any third party. All such dealings are conducted solely between you and the applicable third‑party provider, and you assume all risk associated with engaging with such providers. Munay expressly disclaims all liability arising from or related to your use of, or reliance on, any third‑party product, service, or provider referenced or made accessible through the Platform.

RELATIONSHIP BETWEEN MUNAY AND USERS

Independent Contractor Relationship

Munay operates as a technology platform and on‑demand intermediary, connecting Customers with independent Practitioners and offering tools to facilitate scheduling, communication, payment, and delivery of Third‑Party Services. Munay itself does not directly provide or deliver Third‑Party Services.

Users acknowledge and agree that:

  • Practitioners provide services as independent contractors, not as employees, agents, partners, franchisees, or representatives of Munay.
  • Customers engage Practitioners directly for services.
  • Unless governed by a separate, signed employment agreement with Munay, no User has an employment relationship with Munay.

Where a User might, by implication of law, be deemed an employee of Munay, the User waives any and all claims relating to wages, benefits, severance, or other employment-related entitlements.

Merchant of Record
Each practitioner listed on the Munay platform is an independent service provider and acts as the Merchant of Record (MoR) for all transactions between the practitioner and their clients. Practitioners are solely responsible for:

  • Issuing invoices and receipts directly to clients,
  • Collecting, reporting, and remitting any applicable VAT, GST, or sales taxes,
  • Delivering the booked services in full compliance with applicable local laws and regulations.
  • Munay Live LLC operates solely as an intermediary facilitating the connection between clients and practitioners and does not sell or provide the services directly.

Munay shall not be liable for, and you expressly agree to indemnify and hold Munay harmless from, any taxes, withholdings, costs, or employment-related claims arising out of your provision or receipt of Third-Party Services through the Munay Platform. This includes, without limitation, all unemployment insurance, employer’s liability, workers’ compensation insurance, social security, payroll withholding tax, income tax, VAT, GST, sales tax, and any other applicable local, state, federal, or international taxes, fees, or regulatory obligations.

You acknowledge and agree that you are solely and exclusively responsible for complying with all tax laws, reporting requirements, employer contributions, insurance coverage, and other legal obligations relevant to transactions, services, or activities conducted through the Munay Platform. Should Munay incur any costs, fees, penalties, fines, or liabilities as a result of your failure to comply with such applicable requirements, you agree to fully reimburse and compensate Munay for such amounts without limitation.

At all times, Users of the Munay Platform act solely as independent contractors and not as Munay’s employees, agents, franchisees, servants, or legal representatives of any kind. You shall be solely responsible for all costs, expenses, and obligations incurred by you or your organization in connection with your use of the Munay Platform or your provision of services to Customers. You may not claim or exercise the authority to bind Munay in any manner or act on Munay’s behalf.

Should any User be deemed or classified as an employee or agent of Munay by operation of law, court decision, or regulatory interpretation—whether mandatory or otherwise—you hereby irrevocably waive any and all claims against Munay for wages, benefits, severance, or any other employment-related entitlements or damages arising from such deemed status.

No User is entitled to participate in, or to receive, any benefits provided to Munay’s direct employees, including but not limited to vacation pay, group medical or life insurance, disability coverage, profit-sharing, retirement benefits, pension plans, or other fringe benefits.

The Munay Platform serves to connect Customers with Practitioners who offer Third-Party Services as independent contractors. Each Practitioner maintains full autonomy over their availability, methods, materials, service content, and the delivery of services, and may create personalized service offerings of varying durations. Practitioners retain sole discretion to accept or decline service requests, establish or terminate relationships with Customers, and engage in other professional or contractual work—including with competitors of Munay—provided such activities do not violate these Terms of Service.

Customers are responsible for selecting and vetting a Practitioner suitable for their needs and learning goals, and should carefully review the Practitioner’s reported credentials, education, experience, and Customer reviews before engaging services. Munay does not warrant, guarantee, or control the quality, accuracy, or safety of Practitioner services or credentials.

Termination Policy

Munay reserves the absolute right, at its sole discretion, to suspend, disable, or terminate its relationship with any User and/or revoke or restrict access to the Munay Platform, products, or services, at any time, with or without notice or cause, and without liability to the User. If a termination occurs without cause, any balance remaining in the User’s account may be refunded, subject to Munay’s internal review and verification of valid transactions and subject to applicable law. Munay reserves the right to withhold, offset, or deny refunds in cases involving suspected or actual fraud, chargebacks, disputes, violation of these Terms, misuse of the Platform, or any other conduct Munay deems harmful or abusive.

Immediately upon termination, all User access to the Munay Platform, including but not limited to the ability to set appointments, publish listings, access account balances, or communicate with other Users, shall be discontinued, and all Practitioners’ listings shall be deactivated.

By using the Munay Platform, Users expressly acknowledge and agree that:

  • Munay’s unrestricted right to terminate the relationship with or without cause and with or without notice is a material and essential condition of the independent contractor arrangement.
  • No User is entitled to any additional notice, severance, compensation, or other remedy in connection with any termination, suspension, or restriction by Munay.
  • Any refunds to the User shall be subject to Munay’s determination, and may be withheld, delayed, offset, or denied as Munay deems advisable, including where fraudulent activity or violation of these Terms has occurred.
  • By accepting these Terms, Users acknowledge that no employment relationship exists with Munay and irrevocably waive any claims, entitlements, or damages resulting from termination, suspension, or restriction of access.

ASSIGNMENT

You may not assign, delegate, or transfer any rights or obligations under these Terms, in whole or in part, to any third party without Munay’s prior written consent. Any purported assignment in violation of this section is null and void. These Terms shall be binding upon and inure to the benefit of Munay, the User, and their respective successors, permitted transferees, and assigns.

FEEDBACK

You acknowledge and agree that Munay may provide mechanisms for Users to submit feedback, suggestions, or ideas regarding the Services or the Munay Platform (“Feedback”). By submitting any Feedback, you hereby grant Munay and its affiliates, successors, and assigns a perpetual, worldwide, irrevocable, royalty-free, fully transferable, sublicensable license to use, reproduce, modify, adapt, create derivative works from, distribute, display, and otherwise exploit such Feedback in any manner, for any purpose, in any media now known or later developed, without restriction, attribution, or any obligation of compensation to you or any third party.

You further agree and acknowledge that:

  • Submission of Feedback is gratuitous, unsolicited, and does not place Munay under any fiduciary, confidentiality, or other obligation.
  • Munay is free to use or disclose the Feedback, including ideas or concepts similar or identical to previously known, developed, or obtained by Munay, without limitation.
  • Munay may, in its sole discretion, incorporate, disregard, or modify Feedback as part of future enhancements to the Services.

REVIEWS

You acknowledge and agree that Munay may calculate and display ratings or composite scores for Practitioners or services based on comments, feedback, and reviews left by Users. Ratings may be based on criteria defined or suggested by Munay. Munay provides the feedback and rating system solely as a tool for Users to express opinions publicly; Munay does not monitor, control, censor, or independently verify the content, accuracy, or reliability of any remarks or reviews unless specifically brought to Munay's attention by a User through the appropriate reporting channel.

You may be held legally responsible for damages suffered by other Users or third parties as a result of written remarks or reviews if these are found by a court to be actionable or defamatory. Munay expressly disclaims any responsibility or liability for feedback, reviews, or comments posted by Users or third parties on the Munay Platform, even if such content is defamatory, inaccurate, misleading, or otherwise legally actionable.

Users should promptly report any perceived violations, abuses, or concerns related to the feedback and rating system through Munay Customer Support for appropriate review and response.

AYLLU ENDORSEMENTS

  • Nature of Endorsements: Ayllu tribe members may publicly endorse one another to signify trust, relationship, or shared experience. Endorsements are visible on the Platform and are intended as expressions of personal opinion only.
  • Member Responsibility: Each member is solely responsible for the content of any endorsement they make. By posting an endorsement, you represent and warrant that it reflects your genuine perspective and does not contain false, misleading, defamatory, or unlawful content.
  • No Verification: Munay does not verify, investigate, or guarantee the truthfulness, accuracy, or reliability of any endorsement. Endorsements do not represent the views of Munay and should not be relied upon as statements of fact.
  • No Liability: Munay is not responsible for any misrepresentation, inaccuracy, or harm arising from endorsements. Any reliance on endorsements is at your own risk.
  • License to Display: By submitting an endorsement, you grant Munay Live LLC a worldwide, non-exclusive, royalty-free license to display it on the Platform as part of your public profile and the Ayllu trust system.
  • Right to Remove: Munay reserves the right, but not the obligation, to remove or restrict endorsements that violate these Terms, applicable law, or community standards.

NOTIFICATIONS

Unless you provide written notice opting out, Munay may communicate with you via email, regular mail, postings on the Munay Platform, or text messages. You consent to receive communications from Munay electronically, and you agree that such electronic communications satisfy any statutory or legal requirement that communications be in writing.

You will be deemed to have received any communication when Munay sends it to the email address registered in your account, posts it on the Munay Platform, or sends it via text message. You are solely responsible for maintaining an accurate and current email address and for regularly checking both your email and the Munay Platform for new postings or communications.

If you fail to respond to any email message sent by Munay relating to a violation, dispute, or complaint within 2 (two) business days, Munay reserves the right to immediately suspend or terminate your account and access to the Platform.

All notices to Munay intended to have legal effect regarding these Terms must be in writing and delivered in person, or by a method that generates a delivery receipt, to the following address:

To opt out of specific Munay communications, you must submit a written request by email to care@munay.live. To change the types or frequency of communications, you may adjust your notification preferences in your account settings. Unless and until an opt-out request is received and processed, Munay will continue to send communications as described above.

TERMINATION

Munay reserves the unrestricted right, in its sole discretion, to terminate, suspend, delete, or restrict any User’s access to the Munay Platform—including Practitioners and Customers—at any time, for any reason, with or without prior notice or justification. Munay may also remove or restrict access to any related information, files, content, or listings. Munay shall not be liable to Users or any third party for any modification, suspension, or termination of Platform access, loss of information, scheduled services, or any related damages.

Munay may immediately terminate a Practitioner’s access for any breach of these Terms, including the User Code of Conduct, or for other causes such as, without limitation, harassment (including sexual harassment), threats, intimidation, fraud, misrepresentation, falsification of documents or qualifications, or any conduct deemed inappropriate or harmful in Munay’s sole judgment. Munay may also, at its sole discretion, terminate a Practitioner for any or no reason upon providing thirty (30) days’ advance written notice.

Practitioner Responsibility for Booked Sessions:
Regardless of calendar synchronization status or technical errors, all Practitioners are solely responsible for delivering all sessions that have been booked and confirmed through the Munay Platform. Failure to honor scheduled services constitutes a material breach of these Terms and may result in immediate suspension, termination of account, and additional legal action. Practitioners must regularly verify all bookings and are required to fulfill all confirmed appointments, irrespective of calendar integration or platform notifications.

In the event Munay suspends or terminates your account due to any violation of these Terms or Munay’s policies, you expressly understand and agree:

  • You will not be entitled to any refund, compensation, or remedy for unused funds, scheduled sessions, or for loss of any content or information associated with your account.
  • Munay reserves the right to withhold or seize any funds remaining in your account as liquidated damages or to offset actual or anticipated losses incurred by Munay due to your conduct.
  • You remain bound by these Terms even after termination or suspension of your access.

Termination of Inactive Practitioner Accounts

Munay reserves the right, in its sole discretion, to terminate or deactivate provider accounts deemed inactive for a specified period. “Inactivity” includes, but is not limited to:

  • Expired listings not updated or reactivated within thirty (30) days;
  • Failure to upload any services or listings within thirty (30) days following successful calendar synchronization;
  • Bypassing the Platform to solicit Customers directly, thereby evading required commissions and platform processes; such conduct will result in immediate termination and blacklisting from future participation, without remedy.

INTELLECTUAL PROPERTY RIGHTS

All intellectual property in the design and layout of the Munay Platform and the material and information published on the Website pages or within the Munay Platform functionality belongs to and is vested in Munay or its licensors. You may not copy any part of the Munay Platform or otherwise do anything in relation to any part of the Munay Platform. You may not otherwise use or reproduce any of the Munay Platform or the material contained within it in any manner other than those listed above without first obtaining the prior written permission of Munay.

Unless otherwise noted, all Munay Content contained on the Munay Platform is the property of Munay and/or its affiliates or licensors and is protected from unauthorized copying and dissemination by United States copyright law, trademark law, international conventions, and other intellectual property laws. The service marks and trademarks of Munay, including without limitation Munay and the Munay logos, are service marks owned by Munay, Inc. Any other trademarks, service marks, logos, and/or trade names appearing via the Service are the property of their respective owners. You may not copy or use any of these marks, logos, or trade names without the express prior written consent of the owner.

You may not link or frame to any pages of the Website or any Munay Content contained therein, whether in whole or in part, without prior written consent from Munay. You may like or follow Munay or share links to the Website via social networking technology referenced on the Website. Any rights not expressly granted herein are reserved.

COPYRIGHT INFRINGEMENT. DMCA NOTICE
Since we respect content owner rights, it is Munay’s policy to respond to alleged infringement notices that comply with the Digital Millennium Copyright Act of 1998 (“DMCA”). If you believe that any materials on our Services infringe your copyright, you may request that they be removed. Please notify Munay's copyright agent as set forth in the DMCA.

For your complaint to be valid under the DMCA, your request must bear a signature (or electronic equivalent) of the copyright holder or an authorized representative and must include the following information:

  1. An electronic or physical signature of a person authorized to act on behalf of the copyright owner;
  2. Identification of the copyrighted work that you claim has been infringed;
  3. Identification of the material that is claimed to be infringing and where it is located on the Website;
  4. Information reasonably sufficient to permit Munay to contact you, such as your address, telephone number, and email address;

The preceding requirements are intended to comply with Munay’s rights and obligations under the DMCA, including 17 U.S.C. §512(c), but do not constitute legal advice. It may be advisable to contact an attorney regarding your rights and obligations under the DMCA and other applicable laws.

In accordance with the DMCA and other applicable laws, Munay may also at its sole discretion limit access to the Service and/or terminate the accounts of any Users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

CONFIDENTIALITY
You may obtain direct access via the Services to certain confidential information of Munay, its affiliates, or Users, including but not limited to personally identifiable information, technical, contractual, product, program, pricing, marketing, and other valuable information that should reasonably be understood as confidential (“Confidential Information”). You agree to hold Confidential Information in strict confidence and not use the Confidential Information except for the purposes set forth in these Terms and not disclose such Confidential Information to any third party.

All right, title, and interest in the Confidential Information remains with Munay, its affiliates, and its Users. No obligation is imposed upon you with respect to Confidential Information that you can establish by legally sufficient evidence:

  • (a) you possessed prior to your receipt from Munay, without an obligation to maintain its confidentiality;
  • (b) is or becomes generally known to the public through no act or omission by you, or otherwise without violation of the Terms;
  • (c) you obtained from a third party who had the right to disclose it, without an obligation to keep such information confidential;
  • (d) you independently developed without the use of Confidential Information and without the participation of individuals who have had access to it, or
  • (e) is disclosed in response to a valid order by a court or other governmental body, or as otherwise required by law, or as necessary to establish the rights of either party under these Terms and as disclosed after prior notice to Munay adequate to afford Munay the opportunity to object to the disclosure.

DISCLAIMER OF WARRANTY
Use of the Services is entirely at your own risk. Munay disclaims all liability in connection with any interactions, correspondence, transactions, and other dealings that you have with any third parties, including without limitation Customers or Practitioners found on or through the Munay Platform (including on or via linked websites or advertisements). These dealings are solely between you and the third party (including issues related to the content of third-party advertisements, payments, services, delivery of goods, warranties (including product warranties), privacy and data security, and the like).

Under no circumstances will we be liable for any loss or damage caused by your reliance on the information in any content on the Munay Platform. It is your responsibility to evaluate the accuracy, completeness, or usefulness of any information, opinion, advice, or other content available through the Munay Platform.

You acknowledge that the Munay Platform and all Services, text, images, and other information on or accessible from the Munay Platform are provided "as is" and are based in part on listings provided by Practitioners, which are not verified by Munay, and that any Third Party Services, listings, or other content acquired through the use of the Munay Platform are at your sole risk and discretion.

Munay and its affiliates and licensors are not liable or responsible for any results generated through the use of the Services. We provide no warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Specifically, but without limitation, Munay does not warrant that:

  1. The information available on the Munay Platform is free of errors;
  2. The functions or services (including but not limited to mechanisms for the downloading and uploading of content) provided by the Munay Platform will be uninterrupted, secure, or free of errors;
  3. Defects will be corrected, or
  4. The Munay Platform or the server(s) that makes it available are free of viruses or other harmful components.

Neither Munay nor its affiliates or licensors is responsible for the conduct, whether online or offline, between Users.

In addition, notwithstanding any feature a Customer may use to expedite Practitioner selection, each Customer is responsible for selecting their Practitioner and negotiating a contract, and Munay does not warrant any goods or services purchased by a Customer and does not recommend any particular Practitioner. Munay does not provide any warranties or guarantees regarding any Practitioner's professional accreditation, registration, or license.

Munay expressly disclaims any liability or claims that may arise between Users of its Services. You are solely responsible for your interactions with all other Users and any disputes that arise from those interactions with other Users. Munay is not obliged but may attempt to assist in resolving disputes between Users.

LIMITATION OF LIABILITY

(a) Disclaimer:
To the maximum extent permitted by applicable law, Munay and its affiliates, licensors, service providers, officers, directors, employees, and agents expressly disclaim all liability to any User or third party for any and all direct, indirect, incidental, consequential, special, punitive, or exemplary damages of any kind—including, without limitation, damages for lost profits, lost data, business interruption, loss of goodwill, or the cost of substitute goods or services—arising out of or relating to the use of, inability to use, unauthorized access to, misuse of, or reliance on the Munay Platform, Services, Content, or any information contained therein, whether based in contract, warranty, tort (including negligence), strict liability, or any other legal theory, even if Munay has been advised of the possibility of such damages.
You acknowledge that you use the Munay Platform and Services solely at your own risk.

(b) Limitation:
You expressly agree that Munay’s total aggregate liability for any claims, losses, or damages arising out of or related to these Terms, the Munay Platform, the Services, Munay Content, or any listing or third-party services, regardless of the form of action or legal theory, shall in all circumstances be strictly limited to, and shall not exceed, the total amounts (if any) actually paid by you to Munay for the Services during the three (3) months immediately preceding the event giving rise to such claim.
If no amounts have been paid by you to Munay during such period, you shall have no right to recover any damages or compensation from Munay whatsoever.

(c) Waiver of Class Action:
Any and all claims or disputes between you and Munay shall be resolved solely on an individual basis.
You hereby irrevocably waive any right to participate as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding against Munay.

EXCLUSIONS

Certain jurisdictions may not permit the exclusion of certain warranties or the limitation or exclusion of liability for incidental, consequential, special, or punitive damages. Accordingly, some or all of the above disclaimers, limitations, and exclusions of liability may not apply to you to the extent prohibited by applicable local, state, national, or international law.

Where prohibited by law, Munay’s liability will be limited to the maximum extent permitted by the applicable jurisdiction.

INTERNATIONAL

The Munay Platform and Services may be accessed by Users from jurisdictions outside the United States. References to products, services, or resources on the Platform do not imply or warrant that such products or services are available, appropriate, or authorized for use in any specific locality outside the United States or its territories. Munay expressly disclaims any representation or warranty regarding the availability, suitability, or legality of its Platform, Services, products, or content outside the United States.

If you choose to access or use the Munay Platform or Services from outside the United States, you do so voluntarily, at your own risk, and are solely responsible for ensuring full compliance with all applicable local laws, regulations, and licensing requirements.

Any non-U.S. User assumes all responsibility and liability for accessing and using the Munay Platform or Services outside the United States and acknowledges that Munay may restrict, limit, or discontinue the availability of products, services, or content in jurisdictions outside the United States at any time and without notice.

EXPORT CONTROL

The laws, regulations, and executive orders of the United States of America strictly prohibit the transmission, export, re-export, or transfer of certain products, services, software, technology, and technical data to designated persons, territories, or countries. No part of the Munay Platform, Services, or related technology may be exported, re-exported, accessed, downloaded, or transmitted in violation of United States law.

In accordance with United States export control regulations and applicable sanctions laws, Munay and its affiliates are prohibited from making the Platform or Services available, in whole or in part, to persons located in, ordinarily resident in, or affiliated with, the following countries, regions, or territories:

  • Iran
  • Sudan
  • Crimea region
  • Cuba
  • Syria
  • North Korea
  • Temporarily occupied territories of Donetsk and Luhansk oblast of Ukraine
  • Any other country, region, or entity designated as restricted or sanctioned by U.S. law or regulation, which may be updated from time to time.

Munay may implement technological and administrative measures (including but not limited to IP address or payment blocks) to prevent access to or use of the Munay Platform or Services by anyone present in the above regions or subject to export restrictions. If you are located in, ordinarily resident in, or affiliated with any such territory, region, or person, you are strictly prohibited from accessing, enrolling in, or using any aspect of the Munay Platform or Services.

Violation of United States export controls or sanctions laws may result in civil, criminal, or regulatory penalties.

FORCE MAJEURE

Munay will not be liable for any delay or failure to perform any obligation under these Terms if the delay or failure is due to events beyond Munay’s reasonable control, including but not limited to acts of God, natural disasters, fire, flood, pandemic, governmental actions, civil unrest, war, terrorism, labor disputes, disruption or failure of communications, power or other infrastructure, or any other cause, event, or circumstance outside Munay’s reasonable control. Performance times shall be extended for a period equal to the duration of the Force Majeure event. If the Force Majeure event continues for more than thirty (30) consecutive days, Munay may terminate or suspend the affected Services without further liability.

WAIVER

No failure or delay by Munay to exercise any right, remedy, or enforcement of any provision of these Terms shall constitute a waiver of such right or provision. Any waiver must be in writing and signed by Munay to be effective. The waiver of any right or remedy in a particular instance will not constitute a waiver of any future right or remedy, whether of a similar or different nature.

SURVIVAL

Any provisions of these Terms which by their nature should survive termination (including but not limited to intellectual property rights, confidentiality, disclaimers, limitation of liability, liquidated damages, indemnification, dispute resolution, and governing law) will survive the termination or expiration of these Terms, your account, or your use of the Services, and will remain in full force and effect.

LIQUIDATED DAMAGES

Munay and each User expressly acknowledge and agree that any funds withheld by Munay under these Terms due to breach, violation, or misconduct shall constitute liquidated damages, and not penalties, and are in addition to all other rights or remedies Munay may have in the event of any breach, violation, or misconduct.

Munay and each User further acknowledge and agree that:

  • The amount of actual loss or damages likely to be incurred by Munay as a result of a breach or violation of these Terms is incapable of precise calculation or is difficult to estimate with certainty in advance.
  • The amounts specified for withholding as liquidated damages bear a reasonable and proportional relationship to the probable loss likely to be incurred, and are not plainly or grossly disproportionate to the anticipated damages arising from such breach.
  • One material reason these amounts were agreed upon is the uncertainty, complexity, and expense associated with litigating the actual damages arising from potential breaches of these Terms.
  • Liquidated damages assessed under these Terms are intended as a reasonable estimate of likely harm and do not constitute a punitive measure.

INDEMNIFICATION

By using the Services, you agree to indemnify, hold harmless, and defend Munay and its subsidiaries, affiliates, shareholders, officers, directors, agents, licensors, suppliers, other partners, employees, and representatives from any claims, damages, losses, liabilities, and all costs and expenses of defense, including but not limited to attorneys' fees, resulting directly or indirectly from a claim by a third party that arises in connection with your use of the Services, including but not limited to:

  • Acts and/or omissions on or off the Munay Platform.
  • Violation of any rights of another, including any alleged infringement of intellectual property or other rights.
  • Breach of these Terms.
  • Disputes with or between other Users.
  • Use and/or misuse of the Munay Platform, including any information, content, and materials.
  • Violation of any applicable law or regulation.
  • Inaccurate, untimely, incomplete, or misleading User information.
  • Misstatements and/or misrepresentations.
  • Use of links to third-party websites and any third-party services.
  • Use of third-party payment processors.
  • Use of any information in third-party reports.

You further agree that you will cooperate as requested by Munay in defense of such claims. Munay reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by Users, and you shall not settle any claim or matter on behalf of Munay without its written consent.

In the event that you have a dispute with any User, you hereby release Munay (and its officers, directors, agents, investors, subsidiaries, employees, contractors, and any other third parties related to the Services) from any and all claims, demands, or damages arising out of or in any way related to such disputes.

If you are a California resident, you waive California Civil Code Section 1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

DISPUTE RESOLUTION

Any dispute arising out of consumer claims shall be finally resolved by individual arbitration before a single arbitrator in English, conducted in Delaware, USA, under the Commercial Arbitration Rules of the American Arbitration Association (AAA).

All disputes arising out of or relating to these Terms shall be finally resolved by individual arbitration. The arbitration will be conducted in Delaware, USA, except that a User residing in the U.S. may elect to have the arbitration conducted at a location of Munay’s choice no more than 400 kilometers from the User’s residence. The individual arbitration must be before a single arbitrator conducted in English under the AAA's Commercial Arbitration Rules.

The parties shall bear equally the cost of the arbitration, except that if the arbitrator determines the costs unique to arbitration would preclude a User from asserting a claim, the arbitrator may require Munay to pay a greater share of those costs. The prevailing party may be entitled to an award of reasonable attorneys' fees and costs.

All decisions of the arbitrator shall be final and binding on both parties and enforceable in any court of competent jurisdiction. Munay shall be entitled to seek temporary injunctive relief, security, or other equitable remedies from the United States District Court for the District of Delaware or any other court of competent jurisdiction.

GOVERNING LAW

These Terms shall be governed by the laws of the State of Delaware, USA, excluding the United Nations Convention on Contracts for the International Sale of Goods; the 1974 Convention on the Limitation Period in the International Sale of Goods; and the Protocol amending the 1974 Convention, done at Vienna on April 11, 1980. However, to the fullest extent permissible under law, the Federal Arbitration Act (9 U.S.C. § 1 et seq.) shall govern Section 25 of these Terms (entitled Dispute Resolution).

NON-SOLICITATION

Without limitation, the Services may not be used to solicit for any other business, website, or service. You may not solicit, advertise for, or contact in any form Users for employment, contracting, or any other purpose not related to the Service facilitated through Munay without express written permission from Munay. You may not use the Service to collect usernames and/or email addresses of Users by electronic or other means without the express prior written consent of Munay.

HEADINGS

The headings and captions used in these Terms are for convenience only and are not to be considered in construing or interpreting these Terms.

ENTIRE AGREEMENT. SEVERABILITY

These Terms of Service, together with all incorporated policies, amendments, and any additional written agreements entered into between you and Munay relating to the Services, constitute the entire, exclusive, and final agreement between you and Munay governing your access to and use of the Munay Platform and Services. These Terms supersede all prior or contemporaneous agreements, proposals, representations, communications, and understandings, whether oral or written, relating to their subject matter.

If any provision or portion of these Terms is determined to be unlawful, void, invalid, or unenforceable by a court or other authority of competent jurisdiction, such provision or portion shall be deemed severable from these Terms and shall not affect the validity, legality, or enforceability of the remaining provisions. All remaining provisions will remain in full force and effect.
