MUNAY TERMS OF SERVICE

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. If you do not accept these Terms in their entirety, including the agreement to arbitrate on an individual basis any claims between you and Munay Live LLC (referred to as "Munay," "we," "us," and "our"), a limited liability company registered and organized under the laws of the State of Delaware, you must not access or use the Munay Platform.
DEFINITIONS
To provide clarity and ensure consistent understanding, the following terms are defined as they are used throughout this agreement:
- "Guide" or "Practitioner": An independent contractor offering Third Party Services via the Munay Platform, including professionals providing guidance, consultation, insights, or specialized expertise in spiritual wellness, energy work, sound healing, breathwork, divination, and related modalities.
- "Customer": An individual using the Munay Platform to engage Guides for Third Party Services.
- "Munay Platform": The collective digital ecosystem comprising Munay's website at munay.live, related mobile applications (if any), and software tools enabling interactions between Customers and Guides.
- "Third Party Services": Services provided by Guides through the Munay Platform. Munay does not provide Third Party Services.
- "Services": The features and functionalities offered by Munay, including facilitating connections between Customers and Guides, search, communications, payment processing, scheduling integration, and customer support.
- "User": Any individual or entity accessing the Munay Platform, including Customers, Guides, or visitors.
- "Personal Data": Information relating to an identified or identifiable individual that is collected, stored, or processed by Munay.
1. GENERAL INFORMATION
1.1 Terms of Service
These Terms describe the terms and conditions applicable to your access and use of the website located at https://munay.live and its sub-domains, related mobile device applications (if any), and software (collectively, the "Munay Platform").
By using the Munay Platform, you enter into a legally binding contract with Munay. These Terms, together with the Refund and Payment Policy, Privacy Policy, and User Code of Conduct, are legally binding agreements governing your relationship with Munay.
1.2 Munay Services
The Munay Platform is a search, directory, and communications platform enabling connections between Customers and Guides. Munay facilitates bookings and payments through integrated third-party services including Shopify Payments, Stripe, and Acuity Scheduling.
IMPORTANT DISCLAIMER: Munay does not guarantee or warrant the reliability, quality, suitability, safety, or legality of any Third Party Services or Guides. Munay is a technology platform only and does not provide Third Party Services.
1.3 Amendments
We reserve the right to amend these Terms at any time by posting a revised version. Material changes will be communicated through the Platform or via email. Continued use constitutes acceptance of amended Terms.
2. ELIGIBILITY AND VERIFICATION
2.1 Services Eligibility and Age Requirements
Services are available only to individuals who are eighteen (18) years of age or older and who can form legally binding contracts under applicable law.
MINORS (Ages 13-17): Individuals between the ages of 13 and 17 may access limited portions of the Munay Platform only under the following conditions:
- Verified Parental Consent: A parent or legal guardian must create the account, provide verified consent, and accept these Terms on behalf of the minor;
- Mandatory Supervision: The parent or legal guardian must be actively present and supervising during all sessions and interactions;
- Restricted Services: Certain services, Practitioners, or content may be designated as adult-only and unavailable to minors at Munay's discretion;
- Prohibited Topics: Sessions with minors may not include content related to: plant medicine, psychedelics, sexuality, past-life regression involving trauma, or any other topics Munay designates as inappropriate for minors in these Terms, the User Code of Conduct, or subsequent policy updates published on the Platform;
- Parental Responsibility: The parent or legal guardian assumes all responsibility for the minor's use of the Platform.
NO PRIVATE COMMUNICATION WITH MINORS: Practitioners are strictly prohibited from communicating privately with any Customer under the age of 18 outside the presence and active supervision of the minor's parent or legal guardian. This includes direct messages, emails, text messages, social media communications, video calls, or any other form of private contact. Violations will result in immediate termination and may be reported to appropriate authorities.
CHILDREN UNDER 13: Individuals under the age of 13 are strictly prohibited from using the Munay Platform in compliance with COPPA and similar laws. Munay does not knowingly collect personal information from children under 13.
PRACTITIONER OBLIGATIONS: Practitioners must immediately terminate any session if they reasonably believe a participant is under 18 and unsupervised, or under 13. Practitioners must report such incidents to Munay.
2.2 Privacy
Munay is committed to complying with GDPR, CCPA, and applicable privacy laws. For details, see the Munay Privacy Policy.
2.3 Data Protection and Privacy Roles
DATA CONTROLLER ROLES: For purposes of GDPR, CCPA, and other applicable privacy laws:
- Munay is the data controller for: Platform account data, transactional metadata, payment information, communications through the Platform, and usage analytics.
- Practitioners act as independent data controllers for any Customer personal data they access, download, store, or process outside the Munay Platform (e.g., session notes, external communications, personal records).
PRACTITIONER DATA OBLIGATIONS: Practitioners who handle Customer personal data outside the Platform must:
- Comply with all applicable privacy laws (including GDPR, CCPA, and local regulations);
- Maintain appropriate security measures;
- Honor Customer data deletion requests;
- Not sell or share Customer personal data without consent;
- Report any data breaches to Munay and affected Customers promptly.
PRIVACY POLICY: The collection, use, and protection of personal data is governed by the Munay Privacy Policy, which is incorporated herein by reference. In the event of any conflict between these Terms and the Privacy Policy regarding data handling, the Privacy Policy shall control.
3. NATURE OF SERVICES
Munay provides a technology platform to connect Customers with independent Practitioners for spiritual, energetic, and wellness Third Party Services. Munay does not provide medical, clinical, psychological, psychiatric, or therapeutic services.
3.1 Non-Medical Disclaimer
ALL SERVICES OFFERED THROUGH THE MUNAY PLATFORM ARE FOR PERSONAL GROWTH, SPIRITUAL PRACTICE, AND SELF-EXPLORATION PURPOSES ONLY. Practitioners are NOT medical professionals, licensed therapists, psychologists, psychiatrists, or healthcare providers unless separately and explicitly credentialed.
PRACTITIONERS CANNOT AND DO NOT: diagnose, treat, cure, or prevent any medical, psychological, or psychiatric condition; prescribe medications; provide medical advice; or make any claims of medical or therapeutic benefit.
If you have medical, psychological, or psychiatric concerns, consult appropriately licensed healthcare professionals. Do not disregard professional medical advice because of information obtained through the Munay Platform.
By using Munay Live, you acknowledge and agree to the Safety, Scope of Practice & Trauma-Informed Care guidelines located at https://munay.live/safety. These guidelines clarify the non-clinical nature of all services provided.

3.2 Blog and Educational Content Disclaimer
All blog content, articles, and educational materials on the Munay Platform are for informational and educational purposes only and do not constitute medical, psychological, legal, financial, or other professional advice. Munay expressly disclaims all liability arising from reliance on such content.
3.3 Pricing, Markup, and Promotions
MUNAY RESERVES THE SOLE AND EXCLUSIVE RIGHT TO SET, ADJUST, AND MARKUP PRICES of all listings, services, sessions, series, and packages offered through the Munay Platform. Practitioners acknowledge that Munay may apply markups to Practitioner base rates at Munay's sole discretion.
Munay may offer coupons, promotional codes, discounts, sales, and special offers ("Promotions") without prior notice. Practitioners acknowledge and agree that:
- Munay controls all final pricing displayed to Customers;
- Munay may apply Promotions that reduce Customer-facing prices;
- Practitioner payouts are based on agreed terms, which may account for Promotions;
- Munay is under no obligation to notify Practitioners of specific Promotions;
- By listing services, Practitioners consent to these pricing controls.
PRICING TRANSPARENCY: Munay will display all promotions, discounts, and pricing in compliance with applicable consumer pricing and advertising laws. Where required by law, reference prices will reflect genuine prior prices. Customers will see the final price (including any platform fees) before completing a purchase.
3.4 Energetic Boundaries and Personal Responsibility
ASSUMPTION OF RISK: You acknowledge that spiritual, energetic, and wellness services involve subjective experiences. By participating, you voluntarily assume full responsibility for your emotional, energetic, psychological, and spiritual well-being.
You acknowledge and agree that:
- Munay makes no guarantees regarding practitioner-client compatibility or outcomes;
- Results cannot be predicted or guaranteed;
- Sessions may be ended at any time by either party;
- You release Munay from all claims arising from session content or experiences;
- Practitioners may not claim medical, clinical, or therapeutic benefits.
WAIVER AND RELEASE: BY USING THE MUNAY PLATFORM, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE MUNAY FROM ANY LIABILITY ARISING FROM SPIRITUAL, ENERGETIC, EMOTIONAL, OR PSYCHOLOGICAL EXPERIENCES.
4. PRACTITIONER VERIFICATION, OBLIGATIONS, AND CONTENT RIGHTS
4.1 Independent Contractor Status
All Guides are independent contractors and expressly NOT employees, agents, partners, or franchisees of Munay. Guides are solely responsible for all applicable taxes, compliance with laws, maintaining credentials, and the content and delivery of their services.
4.2 Insurance Requirements
GUIDES ARE STRONGLY ENCOURAGED TO MAINTAIN APPROPRIATE PROFESSIONAL LIABILITY INSURANCE. Guides are solely responsible for determining and obtaining appropriate insurance coverage. Munay recommends Professional Liability Insurance (Errors & Omissions) and General Liability Insurance as appropriate to each practice.
Munay may request proof of insurance at any time. Guides without adequate insurance assume all risks and liabilities.
DISCLAIMER: MUNAY DOES NOT PROVIDE INSURANCE. Customers acknowledge that Guides may or may not carry insurance and assume all associated risks.
4.3 Practitioner Onboarding Review
Munay conducts a limited onboarding review which may include collection of government-issued identification, self-reported credentials, and peer references. This review is administrative only and does not constitute verification, certification, endorsement, or guarantee of any Practitioner's qualifications, competence, lineage claims, or suitability.
You acknowledge that:
- Munay does not verify, authenticate, or validate credentials, certifications, licenses, or lineage claims;
- Munay's onboarding review is not a substitute for your own due diligence;
- Munay makes no representations regarding any Practitioner's qualifications;
- Practitioners are solely responsible for accuracy of information provided;
- Customers assume all risk associated with selecting Practitioners.
4.4 Practice Session Protocols
Practitioners agree to conduct sessions professionally and ethically. Practitioners are solely responsible for content, conduct, and safety; maintaining boundaries; not making medical claims; and providing appropriate pre/post-session guidance.
WAIVER: Practitioners waive all claims against Munay arising from sessions, including Customer behavior, outcomes, or disputes.
4.5 Content License and Rights Grant
GRANT OF RIGHTS: By providing any content to Munay, including photographs, videos, audio recordings, written materials, biographical information, and promotional materials (collectively, "Practitioner Content"), Practitioners grant to Munay a:
NON-EXCLUSIVE, ROYALTY-FREE, WORLDWIDE LICENSE to use, reproduce, modify, adapt, publish, distribute, publicly perform, and publicly display such Practitioner Content for marketing, promotional, and operational purposes related to the Munay Platform during the term of the Practitioner's active engagement with Munay, and as otherwise specified herein, including:
- The Munay Platform, website, and mobile applications;
- Social media platforms (Instagram, Facebook, YouTube, TikTok, LinkedIn, X, Pinterest);
- Email marketing and newsletters;
- Blog posts, articles, and educational content;
- Promotional and advertising materials;
- Press releases and media outreach;
- Third-party syndication and distribution channels;
- Physical materials (print, brochures, event materials).
4.6 Recordings and Media Production
Practitioners acknowledge that Munay may photograph, film, and record Practitioner Content during onboarding, interviews, promotional sessions, and events. By participating:
- CONSENT TO RECORDING: Practitioners expressly consent to being photographed, filmed, and recorded;
- PRODUCTION RIGHTS: Munay owns all recordings and media produced by or for Munay featuring the Practitioner;
- WAIVE APPROVAL: Practitioners waive any right to inspect, approve, or be compensated for use of recordings;
- RELEASE CLAIMS: Practitioners release Munay from claims arising from use, editing, or publication of recordings;
- SYNDICATION: Content may be syndicated or distributed by third parties; Munay is not responsible for third-party use.
NO IMPACT ON ELIGIBILITY: Declining to participate in recordings shall not affect a Practitioner's eligibility to provide paid services, listing visibility, or standing with Munay. Recording participation is entirely voluntary and separate from service provision.
CONSENT: By participating in any recording arranged by Munay, Practitioners provide express consent to be recorded. Participation is voluntary; Practitioners may decline without penalty, though declining may limit promotional opportunities.
RETENTION: Recordings and Practitioner Content may be retained by Munay for up to seven (7) years for legal, regulatory, claims defense, and archival purposes, or longer where required by law or ongoing litigation. Active marketing use is governed by Section 4.7.
PURPOSE: Recordings will be used for: marketing, promotion, social media, blog content, educational materials, quality assurance, and Platform improvement.
4.7 Content Retention Upon Departure
OPT-OUT FOR SOLO CONTENT: Practitioners may request removal of solo content (content featuring only themselves) by submitting a written request to legal@munay.live within thirty (30) days of departure. Munay will use commercially reasonable efforts to remove such content within ninety (90) days, except where:
- Content has been incorporated into third-party syndicated materials outside Munay's control;
- Content is required for legal, regulatory, or archival purposes;
- Removal is technically impractical.
LIMITATIONS ON REMOVAL: Munay does not guarantee complete removal of Practitioner Content from third-party search engine indexes, cached versions, social media reposts, syndicated content, or any materials outside Munay's direct control. Practitioners acknowledge that once content is published online, complete removal from the internet is not technically possible.
OFFLINE/PRINTED MATERIALS: Content that has been incorporated into printed materials, physical promotional items, event materials, or other offline media is not subject to takedown requests and may continue to be used indefinitely.
GROUP CONTENT: Content featuring multiple practitioners shall remain the property of Munay and may be used in perpetuity. Departing practitioners waive any right to demand removal of group content.
TRANSITION PERIOD: Munay may continue using Practitioner Content for up to one hundred eighty (180) days following departure for wind-down and transition purposes.
NO COMPENSATION: No additional compensation shall be owed to Practitioners for continued use of Practitioner Content after departure.
4.8 Practitioner Representations and Warranties
If you use the Services as a Practitioner, you represent and warrant that:
- You will provide services in accordance with these Terms and all applicable Munay policies;
- You will comply with all applicable laws and regulations;
- You are solely responsible for any violation of laws or regulations;
- You will provide services with reasonable care and skill;
- You have obtained and will maintain all required registrations, certifications, licenses, and insurance;
- You will not provide services outside the Platform or receive direct payments;
- You acknowledge Munay may use your name, photo, and listing for marketing;
- You will comply with all applicable scope-of-practice laws, advertising regulations, and professional licensing requirements;
- You will not represent yourself as holding credentials you do not currently possess in good standing.
4.9 Prohibition on Medical and Therapeutic Claims
Practitioners are STRICTLY PROHIBITED from making any claims that their services can diagnose, treat, cure, or prevent any medical, psychological, or psychiatric condition. Prohibited conduct includes:
- Claiming to treat specific conditions (e.g., "heals anxiety," "cures trauma," "treats PTSD");
- Using clinical terminology implying medical or therapeutic treatment;
- Advising Customers to discontinue medical treatment or medication;
- Representing services as substitutes for licensed medical or mental health care.
ENFORCEMENT: Practitioners making medical or therapeutic claims will be subject to immediate suspension pending review, and may face permanent termination.
REVIEW PROCESS: Upon receiving a report or becoming aware of potential medical claims, Munay will conduct a review. During review, the Practitioner may be temporarily suspended. Munay will notify the Practitioner of the concern and provide opportunity to respond before final determination. Munay's decision is final and not subject to appeal.
CONTENT REMOVAL: Munay reserves the right to remove, edit, or require modification of any content that contains medical or therapeutic claims or violates this section or the User Code of Conduct.
REPORTING: Users may report suspected medical claims to care@munay.live.
5. RIGHTS AND LIMITS
5.1 Your Right to Use the Platform
Customers receive a non-transferable, non-sublicensable, non-exclusive, limited right to access the Munay Platform for personal use. Practitioners receive a similar right solely for provision of Third Party Services.
You agree not to:
- Use automated means (bots, scrapers) to access content without authorization;
- Engage Practitioners outside the Platform or circumvent payment;
- Use Services for any unlawful purpose;
- Copy, reproduce, or distribute Munay materials without permission;
- Share credentials with third parties.
5.2 Customer Representations
Customers agree to honor commitments to Practitioners, not circumvent fees, use good faith in interactions, and acknowledge that Third Party Services are not medical, psychological, legal, or financial advice.
5.3 Direct Interactions
Munay does not participate in direct interactions between Customers and Practitioners except to ensure compliance, improve Services, or as stated in the Refund Policy.
5.4 User Complaints
Complaints should be directed to care@munay.live with subject line 'Formal Complaint.'
6. RELATIONS BETWEEN MUNAY AND USERS
Munay is an on-demand intermediary. Munay does not employ Users. Users are independent contractors. Munay is not liable for taxes, withholding, or benefits related to Third Party Services.
7. CONTENT
7.1 Munay Content
Users have a personal, non-transferable, non-exclusive right to use Munay Content subject to these Terms.
Some written content on Munay Live, including informational pages and service descriptions, may be drafted or refined with AI assistance and reviewed by our team.
7.2 User-Generated Content
Munay is not responsible for User-Generated Content. Users are responsible for ensuring content does not violate intellectual property rights.
7.3 Feedback and Reviews
By submitting feedback, you grant Munay a perpetual, worldwide, royalty-free license to use it. Practitioners agree to be rated by Customers.
8. INTELLECTUAL PROPERTY RIGHTS
All intellectual property in the Munay Platform belongs to Munay or its licensors. The Munay name and logos are service marks of Munay Live LLC.
8.1 DMCA Notice
Copyright infringement claims should be sent to legal@munay.live with required DMCA information.
9. THIRD-PARTY SERVICES AND LINKS
The Platform integrates with Shopify, Stripe, Acuity Scheduling, Zoom, and Google Calendar. Links to third-party websites are provided as convenience; Munay is not responsible for their content.
10. DISCLAIMER OF WARRANTY
USE OF THE SERVICES IS AT YOUR OWN RISK. The Platform and Services are provided "AS IS" and "AS AVAILABLE." MUNAY PROVIDES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SERVICES DISCLAIMER: Third Party Services are for general wellness, personal growth, and spiritual exploration only. THEY DO NOT CONSTITUTE MEDICAL, PSYCHOLOGICAL, LEGAL, OR FINANCIAL ADVICE. Results vary and are not guaranteed.
11. LIMITATION OF LIABILITY
11.1 Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUNAY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES arising from use of the Platform, whether based on warranty, contract, tort, or otherwise.
11.2 Limitation
Munay's total cumulative liability shall not exceed THE AMOUNTS YOU PAID TO MUNAY IN THE PRIOR THREE (3) MONTHS.
11.3 Class Action Waiver
CLAIMS MUST BE BROUGHT INDIVIDUALLY, NOT AS PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
11.4 Exclusions
Some jurisdictions do not allow certain exclusions. Liabilities from fraud or personal injury caused by negligence cannot be excluded.
12. ASSUMPTION OF RISK
By using the Platform, you voluntarily assume all risks associated with Third Party Services, including emotional distress, spiritual experiences, or dissatisfaction.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Munay from any claims arising from your use of the Services, including breach of Terms, violation of rights, disputes with Users, and use of third-party payment processors.
California Residents: You waive California Civil Code Section 1542.
14. TERMINATION
14.1 Munay's Right to Terminate
Munay reserves the right to suspend or terminate any User's access at any time, for any reason, with or without notice, including: violation of Terms; fraudulent or illegal activity; harassment; falsification of credentials; harmful conduct; failure to maintain insurance; or at Munay's convenience upon thirty (30) days' notice.
14.2 Compensation Upon Termination
TO THE EXTENT PERMITTED BY APPLICABLE LAW:
For Customers:
- Termination for Cause (Customer Breach): No refund for unused services where termination results from material breach, fraud, chargeback abuse, or Code of Conduct violation.
- Termination for Convenience (by Munay without cause): Customers may be entitled to a pro-rata refund (calculated as the proportional value of unused, prepaid services remaining at termination, less applicable fees, discounts previously applied, or offsets for documented damages) or credit at Munay's reasonable discretion, subject to consumer protection laws.
- Statutory Rights: Nothing limits mandatory consumer rights under applicable law, including California, New York, Massachusetts, EU/UK consumer regulations.
For Practitioners:
- Termination for Cause (Practitioner Breach): Pending payouts may be delayed or offset against damages for material breach, fraud, disintermediation, or misconduct. Munay will provide written notice specifying basis for withholding.
- Termination for Convenience: Practitioners shall receive payment for completed sessions through the effective termination date, less applicable fees or offsets for documented damages.
- Disputed Amounts: Practitioners may contest withheld amounts through dispute resolution in Section 16.
LIQUIDATED DAMAGES: Any funds withheld as liquidated damages shall be limited to a reasonable pre-estimate of Munay's actual damages arising from the specific breach, including disintermediation, intellectual property violations, or reputational harm. Liquidated damages are not intended as a penalty.
14.3 Inactive Accounts
If you have not accessed the Platform for 180 consecutive days, access may be suspended and unused services may expire without refund.
14.4 Effect of Termination
These Terms (including disclaimers, limitations, indemnification, and content licenses) remain enforceable after termination.
15. FORCE MAJEURE
Munay shall not be liable for failure or delay caused by forces beyond its reasonable control, including: acts of God; natural disasters; pandemics; war; terrorism; riots; government actions; labor disputes; power outages; internet failures; third-party service failures; cyberattacks ("Force Majeure Events").
During Force Majeure Events: obligations are suspended; Munay is not liable for damages or refunds; Munay may offer accommodations at its discretion; Users release Munay from related claims.
SERVICE RESUMPTION: Munay will use commercially reasonable efforts to resume normal operations as soon as practicable and provide reasonable updates regarding service status.
EXTENDED OUTAGES: For Force Majeure Events causing unavailability exceeding thirty (30) consecutive days, Munay may, at its sole discretion, offer credits, extensions, or rescheduling. Such accommodations are not guaranteed.
16. DISPUTE RESOLUTION
ARBITRATION: Disputes shall be resolved by individual arbitration in Delaware, USA, under the Commercial Arbitration Rules of the American Arbitration Association (AAA).
CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO RESOLVE DISPUTES ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS.
SMALL CLAIMS COURT CARVE-OUT: Either party may bring an individual action in small claims court if the claim qualifies for small claims jurisdiction.
ARBITRATION FEES: Where required by law (including AAA Consumer Arbitration Rules), Munay shall pay arbitration fees exceeding what you would pay in court. If the arbitrator finds your claim was brought in bad faith, you may be required to reimburse Munay.
SEVERABILITY: If any portion of this arbitration agreement is unenforceable, the remaining portions remain in effect. If the class action waiver is unenforceable, disputes shall be resolved in Delaware courts.
OPT-OUT: You may opt out of arbitration by sending written notice to legal@munay.live within thirty (30) days of first accepting these Terms.
17. GOVERNING LAW
These Terms are governed by the laws of Delaware, USA. The Federal Arbitration Act governs arbitration provisions.
CONSUMER RIGHTS SAVINGS CLAUSE: Nothing in these Terms limits mandatory consumer rights under applicable law of your habitual residence, including EU/UK consumer protection regulations, Australian Consumer Law, or similar statutory protections. Where local law provides greater protection, such law shall apply.
18. CONFIDENTIALITY
You agree to hold Confidential Information in strict confidence and not disclose it to third parties.
19. NON-SOLICITATION
Services may not be used to solicit for other businesses. You may not contact Users for purposes unrelated to Services without Munay's written permission.
20. INTERNATIONAL USE AND EXPORT CONTROL
If you access the Platform outside the US, you are responsible for complying with local laws. Export control regulations prohibit access from: Iran, Sudan, Crimea, Cuba, Syria, North Korea, and occupied territories of Ukraine.
21. LIQUIDATED DAMAGES
Funds withheld constitute liquidated damages (not penalties) and are a reasonable pre-estimate of probable loss from breach. This was agreed due to difficulty estimating actual damages and uncertainty of litigation costs.
22. MISCELLANEOUS
22.1 Assignment
You may not assign rights under these Terms without Munay's written consent.
22.2 Notifications
Munay may communicate via email or Platform postings. Legal notices to Munay must be sent to: 254 Chapman Rd, Ste 208 #20574, Newark, Delaware 19702.
22.3 Severability
Invalid provisions shall be severed without affecting remaining provisions.
22.4 Entire Agreement and Document Hierarchy
These Terms, together with the Refund and Payment Policy, Privacy Policy, and User Code of Conduct, constitute the entire agreement.
DOCUMENT HIERARCHY: In the event of conflict:
- For data handling matters, the Privacy Policy controls;
- For payment and refund matters, the Refund and Payment Policy controls;
- For user behavior standards, the User Code of Conduct controls;
- For all other matters, these Terms control.
Munay will use reasonable efforts to maintain consistency across all governing documents.
